Terms and Conditions — On The Tools Card

These Terms and Conditions ("Terms") govern your use of the On The Tools Card website, mobile application, membership card, digital offers, wellbeing tools, and related services (together, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms are between you and On The Tools Card Ltd, a company registered in England and Wales under company number 17052070, with registered office at 416 Fort Dunlop, Fort Parkway, Birmingham, West Midlands, England, B24 9FD ("On The Tools Card", "we", "us", "our").

1. Eligibility

Use of the Services is restricted to:

  • individuals working in construction and the wider trades sector;
  • self-employed tradespeople;
  • apprentices and trainees;
  • construction support, merchant, logistics, and site-based staff;
  • other categories we may approve from time to time.

You must:

  • be at least 16 years old to register;
  • provide accurate eligibility information;
  • provide verification documents where requested;
  • keep your eligibility information up to date.

We reserve the right to approve, reject, suspend, or revoke membership at our discretion where eligibility cannot be verified.

2. Membership and Account Security

You are responsible for:

  • keeping your login details secure;
  • all activity carried out under your account;
  • ensuring your account details remain accurate;
  • notifying us immediately of unauthorised access.

We may suspend or terminate accounts where we reasonably believe:

  • your account has been compromised;
  • eligibility criteria are no longer met;
  • offers are being misused;
  • multiple accounts are created fraudulently;
  • discount codes are being shared, resold, or abused.

3. Discounts, Offers and Partner Promotions

We provide access to discounts, offers, QR redemptions, voucher codes, cashback opportunities, shopping cards, and partner promotions.

All transactions take place with third-party retailers or service providers, not with us.

This means:

  • partner terms apply to each transaction;
  • partners may withdraw, amend, pause, or end offers at any time;
  • stock, availability, exclusions, and expiry dates are controlled by the partner;
  • we are not responsible for the goods or services supplied by the partner.

If an offer fails to apply and you complete your purchase anyway, any refund of the missed discount remains entirely at the partner's discretion.

4. QR Codes, Offer Wallet and Redemption

Offers may be redeemed via:

  • QR code
  • unique redemption code
  • online voucher
  • saved Offer Wallet content
  • in-app activation links

Saved offers do not guarantee:

  • continued availability
  • price certainty
  • redemption eligibility
  • stock availability

Retailers may request additional ID or proof of valid membership before honouring an offer.

5. Membership Misuse

You must not:

  • share discount codes publicly;
  • resell offers, vouchers, or shopping cards;
  • use membership for commercial resale;
  • create duplicate accounts;
  • manipulate redemption systems;
  • attempt unauthorised access to retailer systems;
  • misuse affiliate, cashback, or referral systems.

We may permanently ban accounts engaged in misuse without notice.

6. Wellbeing Tools

Our Services may include:

  • journaling tools
  • check-ins
  • guided resets
  • wellbeing prompts
  • focus and stress-management tools
  • content designed to support mental wellbeing in construction

These tools are provided solely for general wellbeing, self-reflection, journaling, and stress-management purposes.

They do not provide:

  • medical advice
  • mental health treatment
  • counselling
  • psychiatric advice
  • diagnosis
  • therapy
  • crisis intervention

Nothing in the wellbeing features creates:

  • a doctor-patient relationship;
  • therapist-client relationship;
  • counselling engagement;
  • emergency response obligation.

No clinician, therapist, counsellor, or healthcare professional monitors the wellbeing tools, journal entries, or check-ins.

7. User Journal and Wellbeing Content

Any journal entries, notes, reflections, check-ins, or other wellbeing content you create remain your content.

By using these features, you grant us a limited licence to:

  • store the content;
  • display it back to you;
  • process it solely to deliver app functionality and wellbeing insights;
  • use anonymised and aggregated usage trends to improve the Services.

We do not monitor journal entries or check-ins in real time and do not review content unless required for:

  • legal compliance
  • safeguarding concerns
  • abuse prevention
  • technical support
  • service improvement in anonymised form

You must not use the wellbeing tools to upload:

  • illegal content
  • abusive content
  • threats
  • hate speech
  • harmful instructions
  • content encouraging violence or harm to others

We reserve the right to remove content and suspend accounts where legal, safety, or safeguarding concerns arise.

8. Important Crisis and Emergency Notice

The wellbeing features are not monitored in real time and must not be relied upon for emergency, crisis, or urgent mental health support.

You acknowledge and agree that:

  • no emergency alerts are generated;
  • no safeguarding escalation is guaranteed;
  • no human intervention is provided;
  • no crisis-response service is offered;
  • we are under no obligation to contact emergency services on your behalf.

If you or another person is in immediate danger, at risk of serious harm, or experiencing a medical or mental health emergency, call 999 immediately.

If you need urgent mental health support but there is no immediate danger, contact NHS 111 online or by phone.

You remain solely responsible for seeking emergency, urgent, or professional medical support where needed.

9. Affiliate Tracking and Cookies

Some offers use affiliate tracking links and cookies to track successful referrals and enable partner commission payments.

This may involve:

  • browser redirects
  • anonymous member identifiers
  • transaction metadata
  • non-personal tracking tokens

10. Intellectual Property

All content within the Services, including:

  • branding
  • text
  • design
  • app interfaces
  • logos
  • offer layouts
  • wellbeing journeys
  • prompts
  • illustrations
  • source code

belongs to On The Tools Card or its licensors.

You may not copy, distribute, reverse engineer, scrape, or commercially exploit any part of the Services without written permission.

11. Service Availability

We do not guarantee uninterrupted access to:

  • the website
  • mobile apps
  • discount feeds
  • partner integrations
  • QR code systems
  • wellbeing services
  • journaling tools

Features may be updated, removed, or suspended at any time.

12. Liability

To the fullest extent permitted by law, we exclude liability for:

  • failed discounts
  • expired offers
  • third-party retailer issues
  • lost savings
  • indirect losses
  • business interruption
  • reliance on wellbeing content
  • mental health outcomes
  • data loss caused by user devices
  • service outages

Nothing excludes liability for:

  • death or personal injury caused by negligence
  • fraud
  • any liability that cannot legally be excluded under English law

13. Termination

We may suspend or terminate your access immediately where:

  • eligibility fails;
  • misuse is suspected;
  • safeguarding concerns arise;
  • legal compliance requires it;
  • you breach these Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
